Unique Code of Conduct

This Code of Conduct establishes and promotes the continuous realization of Corporate Business Principles by setting minimum and non-negotiable standards of behavior in key areas of activity.

The aim of this Code is not to regulate all possible situations that may arise but to serve as a reference framework for their evaluation. Employees should seek assistance if they have doubts about the correct behavior to adopt in a given situation, as each of them has the responsibility to "do the right thing", a responsibility that cannot be delegated.

CORE PRINCIPLES

1. Compliance with the Law: Unique and its employees have an unwavering responsibility to comply with all applicable laws and regulations in all jurisdictions where we operate. Respect for legality is an inescapable imperative and should not be subject to compromise or concessions. This includes compliance with local, national, and international laws governing our operations and business relationships. Our integrity in compliance with the law is essential to maintain the trust of our customers and business partners.

2. Conflict of Interest Management: Employees of Unique must avoid any situation where their personal interests or those of third parties conflict with the interests of the company. In the event of a potential conflict of interest, employees are expected to disclose and manage the situation transparently and in consultation with relevant departments. This transparency ensures and protects impartiality and objectivity in our business decisions.

3. Fair Competition: Unique promotes fair and ethical competition in the market. Employees should not engage in unfair business practices or compete with the company dishonestly. Furthermore, they should not exploit business opportunities discovered during their employment without proper authorization. Fostering fair competition contributes to a healthier market and sustainable business relationships.

4. Protection of Confidential Information: Confidentiality is crucial to Unique's success. Employees must respect and safeguard all confidential information of the company and third parties, including trade secrets, strategic plans, customer data, and any information not publicly known. This protection not only preserves Unique's competitive advantage but also strengthens the trust of our customers and business partners, demonstrating our commitment to information security and integrity. Unauthorized disclosure of confidential information can have serious consequences for both the company and individuals involved.

5. Financial Integrity: Unique demands the highest integrity in all financial and accounting aspects. Employees should not engage in any form of fraud, manipulation of financial records, or any activity that compromises the accuracy and transparency of financial reports. This includes the obligation to transparently and accurately record all transactions and maintain an internal control system that ensures the safeguarding of company assets and the accuracy of financial reports. The discovery of any accounting or financial irregularities must be reported immediately to senior management and the Compliance Function for proper investigation and correction.

6. Ethical Leadership: Leaders at Unique should serve as examples of ethical and professional conduct. They are expected to lead with integrity and respect for company property and assets. This includes promoting a collaborative and supportive work culture where ethical principles are valued and encouraged in all decisions and actions. Moreover, leaders should be willing to proactively address any situation that may jeopardize the company's integrity or business ethics, demonstrating their commitment to excellence and compliance with the highest ethical standards. Ethical leadership significantly contributes to team cohesion and the sustainable success of Unique in the market.

7. Accuracy of Financial Reporting: The accuracy of financial reports is essential for making sound decisions and for maintaining the trust of our stakeholders. Unique's financial data must be accurate and comply with applicable accounting regulations and standards. This not only ensures financial transparency and accountability but also helps establish strong and lasting relationships with our stakeholders. The accuracy in financial reporting reflects our commitment to integrity and excellence in the management of our financial operations.

8. No to Corruption: Unique is committed to fighting corruption in all its forms. Employees should not offer or accept bribes, gifts, or any form of illicit incentives to gain commercial advantages or preferential treatment. This includes situations where third parties may attempt to influence the company's decisions through corrupt practices. In such cases, employees are expected to act with integrity and immediately report any attempted corruption to the appropriate authorities and company management. Unique is dedicated to promoting a culture of ethical and transparent business, and the rejection of corruption is essential to maintaining the company's integrity and reputation.

9. Non-Discrimination and No Harassment: Unique values diversity and is committed to creating an inclusive and respectful work environment. Employees should treat their colleagues with dignity and respect, avoiding all forms of discrimination or harassment based on race, gender, religion, sexual orientation, age, or other factors. This commitment to equality and diversity not only reflects our core values but also enhances creativity and innovation within our company, ensuring that every voice and perspective is valued and respected.

Employees have the responsibility to report any behavior they believe to be in violation of this Code or that may be illegal. Reports can be made to their supervisors, Human Resources, the Legal Department, or the Compliance Function, and confidentiality and protection are guaranteed for those who report in good faith.

This Code of Conduct reflects Unique's commitment to integrity, ethics, and respect in all facets of its operation. All employees are responsible for adhering to these principles and values, contributing to the maintenance and strengthening of Unique's reputation as a leading company in its industry.

Codice di Condotta di Unique

Questo Codice di Condotta stabilisce e promuove la realizzazione continua dei Principi Aziendali Corporativi definendo standard minimi e non negoziabili di comportamento nelle principali aree di attività.

L'obiettivo di questo Codice non è regolamentare tutte le possibili situazioni che possono sorgere, ma servire come quadro di riferimento per la loro valutazione. I dipendenti dovrebbero cercare assistenza se hanno dubbi sul comportamento corretto da adottare in una determinata situazione, poiché ognuno di loro ha la responsabilità di "fare la cosa giusta", una responsabilità che non può essere delegata.

PRINCIPI FONDAMENTALI

1. Conformità alla Legge: Unique e i suoi dipendenti sono obbligati a rispettare la legge. Il rispetto di tutte le leggi e dei regolamenti in vigore non deve mai essere compromesso. Inoltre, i dipendenti devono attenersi alle regole e ai regolamenti interni secondo quanto richiesto dalle circostanze.

2. Gestione dei Conflitti di Interesse: Evitare i conflitti di interesse è fondamentale. In caso di conflitto di interesse o di una potenziale situazione di conflitto di interesse, il dipendente deve segnalare la situazione al proprio supervisore immediato e/o alla Funzione delle Risorse Umane, Affari Legali o Compliance per affrontare la situazione correttamente e in modo trasparente.

3. Concorrenza Leale: I dipendenti non dovrebbero concorrere con l'azienda o sfruttare opportunità commerciali identificate durante il loro impiego, a meno che l'azienda non rinunci espressamente a qualsiasi interesse in tali opportunità.

4. Protezione delle Informazioni Riservate: Le informazioni riservate dell'azienda e di terzi devono essere rispettate e tutelate. Questo include segreti commerciali, piani aziendali, piani di marketing e servizi, preferenze dei consumatori, progetti di ingegneria e produzione, basi di dati, registrazioni, dati salariali e qualsiasi altra informazione finanziaria o non pubblica.

5. Integrità Finanziaria: Non è consentito impegnarsi in frodi o in altri comportamenti disonesti che coinvolgono la proprietà, gli asset o i rapporti finanziari e contabili di Unique o di terzi. Tali comportamenti possono comportare non solo sanzioni disciplinari ma anche azioni legali contro i dipendenti.

6. Leadership Etica: Incoraggiamo l'onestà e il rispetto della proprietà e degli asset aziendali. I dipendenti non dovrebbero coinvolgersi in frodi o in altri comportamenti disonesti che coinvolgono la proprietà, gli asset o i rapporti finanziari e contabili di Unique o di terzi.

7. Requisiti Finanziari Precisi: I dati finanziari di Unique devono essere precisi e conformi agli Standard Contabili di Unique.

8. No alla Corruzione: I dipendenti non devono offrire direttamente o attraverso intermediari benefici personali o illeciti, sia finanziari che di altro tipo, per ottenere o mantenere affari o vantaggi attraverso terzi, sia nel settore pubblico che privato.

9. Non Discriminazione e Nessun Molestamento: I dipendenti non devono discriminare in base a origine, nazionalità, religione, razza, genere, età o orientamento sessuale, né perpetrare alcuna forma di molestia verbale o fisica basata su questi fattori o altri.

I dipendenti dovrebbero segnalare qualsiasi pratica o comportamento che ritengono non conforme alle disposizioni di questo Codice o persino illegale al proprio supervisore immediato o ai rappresentanti competenti delle Risorse Umane, Affari Legali o della Funzione di Compliance.
